The agreement
These Terms of Service ("Terms") are an agreement between GradusMind ("we", "us"), based at 92/2 Ashok Nagar, BK Pudur, Kuniyamuthur, Coimbatore, Tamil Nadu 641008, India, and the organisation that signs up for GradusMind ("Customer", "you"). By creating an account, starting a trial or using the GradusMind platform, you accept these Terms on behalf of your organisation and confirm you have authority to do so.
If the Customer has signed a separate order form or agreement with us, that document takes precedence where it conflicts with these Terms. Our Privacy Policy and Refund & Cancellation Policy form part of these Terms.
Accounts and roles
- The Customer appoints administrators, who invite instructors and learners and assign their roles and permissions.
- Users must give accurate information, keep their passwords confidential and tell their administrator about any unauthorised use.
- The Customer is responsible for everything done under its accounts and for making sure its users follow these Terms.
- Learners use GradusMind under the Customer's account. Their relationship for coursework, grades and certificates is with their institute or employer.
Free trial
New Customers can try the Pro plan free for 14 days. No payment details are needed to start. At the end of the trial you can choose a paid plan; if you do not, the account becomes read-only and its data is deleted 30 days later unless you subscribe. We may limit trials to one per organisation.
Plans, pricing and billing
- Per learner: plans are priced per learner, meaning each student or employee enrolled to take courses. The minimum is 25 learners.
- Billing periods: you can pay monthly or yearly. Yearly billing includes the discount shown on our pricing page.
- Taxes: prices are in Indian rupees and exclude GST, which is added to every invoice.
- Volume discounts apply as shown on our pricing page at the time you subscribe or renew.
- Adding learners during a billing period is charged pro rata for the rest of that period. Reducing learners takes effect from the next renewal.
- Renewal: subscriptions renew automatically for the same period unless cancelled before the renewal date.
- Late payment: if an invoice is unpaid 15 days after its due date, we may suspend access after giving notice.
- Price changes apply from your next renewal, and we will tell you at least 30 days in advance.
Your content
Courses, lessons, recordings, questions, learner submissions and other material uploaded to GradusMind ("Customer Content") belong to the Customer or its users. You give GradusMind a limited licence to host, copy, process and display Customer Content only to provide and support the service.
You confirm that you have the rights needed to upload Customer Content and that it does not infringe anyone else's rights. You can export your Customer Content at any time while your subscription is active and for 30 days after it ends.
AI features
AI grading, the AI tutor and AI mock interviews produce automated output that can be wrong or incomplete. AI grades are suggestions until an instructor approves them, and the Customer is responsible for final grades, results and any decisions based on them. Do not rely on AI output as the sole basis for decisions with significant consequences for a learner.
Certificates
Certificates are issued by the Customer through GradusMind. GradusMind's verification confirms only that a certificate was issued through the platform and has not been revoked. It does not confirm the quality of the course or the holder's ability. The Customer is responsible for the accuracy of certificates it issues and may revoke them.
Acceptable use
You and your users must not:
- upload unlawful, infringing, obscene or harmful content, or content that harasses others;
- try to access another organisation's data, bypass permissions or probe the platform for vulnerabilities without our written permission;
- upload malware, or overload or disrupt the service;
- use proctoring or recording features without the notices and consents the law requires;
- resell or sublicense GradusMind without a written agreement with us; or
- copy or reverse engineer the platform, or use it to build a competing product.
Availability and support
We work to keep GradusMind available at all times, apart from planned maintenance, which we schedule outside Indian working hours where we can and announce in advance. Support is available by email at support@gradusmind.com on Indian working days. Enterprise plans may include a service level agreement set out in the order form.
Data protection
For personal data in Customer Content, the Customer is the Data Fiduciary and GradusMind is its Data Processor under the Digital Personal Data Protection Act, 2023. We process that data only to provide the service and as described in our Privacy Policy. The Customer is responsible for having a lawful basis, giving notices and obtaining consents for its users, including parental consent for learners under 18.
Our intellectual property
GradusMind, its software, design, logos and documentation belong to GradusMind. These Terms give you the right to use the service during your subscription and nothing more. If you send us feedback, we may use it without obligation to you.
Suspension and termination
- You can cancel at any time as described in our Refund & Cancellation Policy.
- We may suspend accounts that breach these Terms, put the service or other customers at risk, or have unpaid invoices. Where possible we will warn you first and give you time to fix the problem.
- Either party may end the agreement if the other materially breaches it and does not fix the breach within 30 days of notice.
- When the agreement ends, access stops at the end of the paid period. You can export Customer Content for 30 days, after which we delete it as set out in the Privacy Policy.
Warranties and liability
We will provide GradusMind with reasonable skill and care. Apart from that, and to the extent the law allows, the service is provided "as is" without other warranties, including that it will be error-free or meet every requirement.
Neither party is liable for indirect or consequential losses, or for loss of profits, revenue or goodwill. Each party's total liability under these Terms is limited to the fees the Customer paid GradusMind in the 12 months before the claim. These limits do not apply to the Customer's payment obligations, breach of the acceptable use rules, or liability that cannot be limited by law.
The Customer will indemnify GradusMind against third-party claims arising from Customer Content or from its users' breach of these Terms.
Governing law
These Terms are governed by the laws of India. The courts at Coimbatore, Tamil Nadu, India have exclusive jurisdiction over any dispute arising from them.
Changes
We may update these Terms as the service changes. We will post the new version here and, for material changes, notify Customer administrators at least 30 days before they take effect. Continuing to use GradusMind after that date means you accept the updated Terms.
